Parcelo – Agent Portal Terms of Operation

1. Appointment and Scope of Work

1.1 The Agent is appointed by the Company to perform logistics services including, but not limited to:
  • Receiving packages at designated locations
  • Sorting packages according to Company guidelines
  • Dispatching and forwarding packages to the port of destination

1.2 The Agent shall act in accordance with the instructions, policies, and procedures provided by the Company.

2. Term and Termination

2.1 This Agreement shall commence on the Effective Date and shall continue unless terminated by either party with 30 days' notice.

2.2 The Company may terminate this agreement immediately for cause, including but not limited to:
  • Breach of confidentiality or these Terms
  • Fraud or theft
  • Failure to comply with applicable laws or operational standards

3. Agent Responsibilities

The Agent agrees to:
  • Operate with the highest standards of integrity and professionalism
  • Ensure secure handling, timely processing, and sharing of all packages and package information
  • Maintain accurate records of all received, sorted, and dispatched items
  • Immediately report any lost, damaged, or suspicious packages

4. Compliance and Legal Obligations

4.1 The Agent must comply with all applicable local, national, and international laws relating to customs, transportation, and handling of goods.

4.2 The Agent must ensure that all items processed do not violate any import/export restrictions, including but not limited to prohibited or hazardous goods both at the nation of origin and destination.

5. Confidentiality and Data Protection

5.1 The Agent shall keep all Company-related information, client data, and shipment contents strictly confidential.

5.2 The Agent agrees to comply with applicable data protection laws, including but not limited to GDPR and similar regulations, where relevant.

6. Compensation and Expenses

6.1 Compensation terms will be detailed in a separate Agent Compensation Agreement or Schedule.

7. Inspection and Auditing

The Company reserves the right to:
  • Conduct unannounced inspections of the Agent's facility
  • Audit records related to the handling of Company packages
  • Require corrective actions as a result of audit findings

8. Branding and Representation

8.1 The Agent may not represent themselves as having authority to legally bind the Company.

8.2 Use of Company branding, uniforms, or materials must follow the Company's brand guidelines and receive prior written approval.

9. Liability and Insurance

9.1 The Agent shall be liable for any losses or damages resulting from negligence or willful misconduct.

9.2 The Agent must maintain valid insurance coverage appropriate for their scope of operation, including general liability and goods-in-transit coverage unless otherwise agreed.

10. Dispute Resolution

10.1 In the event of a dispute, the parties agree to attempt resolution through mediation before pursuing legal action.

10.2 This Agreement shall be governed by the laws of The Republic of Uganda.

11. General Provisions

  • Amendments: Any changes to these Terms must be agreed upon by both parties.
  • Severability: If any part of these Terms is deemed invalid, the remainder shall remain in effect.
  • Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior communications.
